Prices

Setting up a limited liability company

  • EUR 1,000 (exclusive of VAT) for the preparation of incorporation documentation in two languages (Czech + another language) for a company with registered capital under CZK 200,000.
  • EUR 800 (exclusive of VAT) for the preparation of incorporation documentation in two languages (Czech + another language) for a company with registered capital under CZK 20,000, where there is no requirement that a bank account is opened for the company in order for the capital to be paid into it.
  • EUR 560 (exclusive of VAT) for the preparation of incorporation documentation only in the Czech language.

These fixed fees include an initial consultation, communication with our lawyers throughout the entire process of setting up a limited liability company, preparation of standard documents for setting up a limited liability company, representation before public authorities, court and administrative fees, and notary fees. We are available to our clients throughout the entire process in person and online.

The above fixed fees do not include official translations of documents which require a so-called certified translation (i.e. criminal records and copies of entries in the Commercial Register); also securing a registered office, opening a bank account and bank fees are not included in the above mentioned fixed fees. We can provide these optional additional services, as well as other legal services by agreement on the basis of the client’s specific requirements.

Setting up a joint stock company

  • From EUR 2,000 (exclusive of VAT) for the preparation of incorporation documentation only in the Czech language.
  • From EUR 3,000 (exclusive of VAT) for the preparation of incorporation documentation in two languages (Czech + another language).

Other legal entities and other legal services

Ordinarily, we offer fixed fees for standard types of work. Non-standard instructions and transactions where it is not possible, on the basis of our experience, to estimate the volume of work required in advance, we will agree on an hourly rate and a framework budget. Setting up a limited liability company

We are available to our clients in person, on the phone and also online via our eAdvokacie online system throughout the whole process.

Step 1: Initial consultation

We first consider your business plan and advise you on the most suitable type of entity to meet your needs, including necessary trade licences. We also confirm your instructions (internal company structure, name, registered office etc.) and advise you on the paperwork that you will need in order to set up a company, and to generally start a business in the Czech Republic.

Step 2: Preparation of documentation

We will prepare and compile all documentation necessary to set up a company and pass it on to you for final approval and signature. If required, we will secure an official translation of documents and a registered office for your new company.

Step 3: Application for incorporation of a company

As soon as documentation has been approved and signed, we will book a meeting with a notary, at which we will produce a notarial deed containing a Memorandum of Association (constituting document). At the same time, we will ensure that the relevant trade licences – entitlement to carry out business in the relevant fields – are obtained from the respective authorities.

Step 4: Paying in registered capital

In order to set up a new company with registered capital exceeding CZK 20,000, it is necessary to open a bank account to pay the registered capital into, and then to credit the account with the minimum registered capital of the company (the minimum amount of registered capital is not limited). We can also assist you with opening a bank account and obtaining a confirmation from the bank that the registered capital has been paid.

The requirement to pay registered capital into a bank account does not apply if the registered capital of a company is under CZK 20,000; such capital must be deposited with a deposit administrator.

Step 5: Registering a company in the Commercial Register

As soon as we have confirmation that the registered capital has been paid and trade licences have been obtained, we will apply for registration of the company in the Commercial Register. Ordinarily, within a few days to a week, a new company is registered in the Commercial Register, it is given a company number, and it can start trading.

Frequently asked questions

How much does setting up a limited liability company cost?

The standard cost is EUR 1,000 (exclusive of VAT). Optionally, the cost can be EUR 800 (exclusive of VAT) if the new company has registered capital under CZK 20,000. If incorporation documentation is prepared only in the Czech language, we charge a fixed fee of EUR 560 (exclusive of VAT).

Do you also offer shelf companies for sale?

How long does it take to set up a limited liability company?

Usually, the whole process of setting up a limited liability company takes around one month. However, this is always dependent on our clients’ availability when we are preparing documentation, and the speed of registration in the Commercial Register by the court.

Do you communicate online?

Yes. Our clients are able to communicate with us via our eAdvokacie online system , which allows you to address all of your requirements from the comfort of your home. This includes, as standard, a high level of security, and a transparent breakdown of all your legal fees.

What types of companies do you set up most often?

The types of companies which are most commonly set up are limited liability companies (s.r.o.), as well as joint stock companies. However, it is always necessary to balance the advantages and disadvantages of individual types of companies, and we will be happy to assist you with this.

What languages do you speak?

Czech, Slovak, and English. If needed, we can arrange a translation or an interpreter.

Are you able to help with opening a bank account for a new company?

Yes, this is a supplementary service for a fee of EUR 250 (exclusive of VAT).

Are you able to secure a registered office for a new company?

Yes, we are able to secure a registered office (address) for your company and to change it; this is a supplementary service. This service is costed individually in each case, and the price is dependent on the type of the office and its location. You can contact us for specific options.

Are you able to provide accounting and tax services for the new company?

Our law firm does not provide accounting or tax services. However, we can provide you with contact details for an accounting company that we cooperate with.

Are you able to help with setting up a company in other European countries?

Yes, our firm has a branch in Slovakia, and we are also able to help with setting up a company outside the Czech and Slovak Republics via law firms we cooperate with abroad.

Are you able to secure a work permit or a business visa?

We do not provide these services.
